Terms of Service

These Terms of Service govern access to and use of PopUpSync's cloud-based vendor compliance management platform for event teams and their vendors.

Acceptance of terms

By accessing or using PopUpSync, creating an account, inviting vendors, uploading event data, or purchasing a subscription, you agree to these Terms of Service. If you do not agree, you may not use the service.

Description of service

PopUpSync is a cloud-based vendor compliance management platform for US-based events. The service helps event teams collect vendor credentials, track compliance requirements, coordinate scheduling, and manage event vendor workflows in one hosted workspace.

Eligibility

You must be at least 18 years old and represent a legitimate business, organization, or professional event operation to use PopUpSync. If you use PopUpSync on behalf of a company, you represent that you have authority to bind that company to these terms.

Subscription and billing

Paid subscriptions are billed on a recurring basis through Stripe and automatically renew until canceled. You may cancel anytime, and the cancellation will apply at the end of the current billing period. Fees for the current billing period are non-refundable except where required by law or expressly agreed in writing.

Acceptable use

You may not use PopUpSync for illegal activity, upload false, misleading, forged, or fraudulent vendor credentials, interfere with the service, attempt unauthorized access, reverse engineer the platform, scrape or copy the service, or use PopUpSync in a way that harms other users, vendors, or event participants.

Intellectual property

PopUpSync owns the platform, software, workflows, designs, trademarks, documentation, and related intellectual property. Customers and users own the data they submit to the service. You grant PopUpSync the limited rights needed to host, process, transmit, and display your data to operate the service.

Limitation of liability

PopUpSync is a workflow and compliance management tool, not a guarantee of vendor compliance, regulatory approval, event safety, or legal outcome. PopUpSync is not liable for vendor non-compliance, inaccurate vendor submissions, missed event requirements, regulatory failures, indirect damages, lost profits, or consequential damages to the fullest extent permitted by law.

AI Document Verification — Scope & Limitations

PopUpSync uses AI-assisted technology to read and analyze vendor-submitted documents. The verification system checks that required fields are present, that document types match the selected category, and that expiration dates have not passed.

PopUpSync's AI verification does NOT:

  • Cross-reference documents with government, regulatory, insurance, or licensing authority databases
  • Authenticate the identity or legitimacy of any issuing authority
  • Guarantee the accuracy, completeness, or legal validity of any document
  • Detect forged, altered, fraudulent, or counterfeit documents
  • Provide legal, compliance, insurance, or regulatory advice
  • Verify EIN or Tax ID numbers against IRS or government records
  • Confirm that license numbers are currently active with any issuing state or authority

A "Verified" status means only that the document appears to contain the expected fields and that listed expiration dates have not passed — nothing more.

Verification results are provided as a compliance tracking aid only. Users remain solely responsible for conducting independent verification of vendor compliance for their specific jurisdiction, industry, and contractual requirements. PopUpSync shall not be liable for any claims, losses, damages, or regulatory penalties arising from reliance on AI verification results.

Event archives and data retention

When a client archives a completed event, PopUpSync retains the archived event record and related vendor contact information for two (2) years from the archive date.

Vendor documents and uploaded files, including certificates, insurance PDFs, images, and similar attachments, are permanently deleted at the moment the event is archived. Deleted vendor documents cannot be recovered, including if the event is later unarchived. Clients should download or retain any vendor documents they need before archiving an event.

Clients may unarchive an event at any time before the two-year mark to return it to their active dashboard. After two (2) years from the archive date, the archived event and its related vendor contact records are permanently and automatically deleted from the system.

Termination

We may suspend or terminate accounts that violate these terms, create risk for PopUpSync or others, fail to pay applicable fees, or misuse the service. You may stop using PopUpSync and cancel your subscription at any time.

Governing law

These terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Venue and jurisdiction for disputes will be located in the appropriate state or federal courts serving the appropriate Illinois county, unless applicable law requires otherwise.
